Cell Genesys is proud to offer its employees a comprehensive benefits* package that extends beyond that commonly seen within the biotech industry.

MEDICAL   Cell Genesys offers three different medical plans to eligible employees and their eligible dependents. Blue Cross PPO, Blue Cross HMO and Kaiser. All medical plans include prescription drug benefits. Employee contributions are pre-tax.

DENTAL
 
Cell Genesys offers a comprehensive dental plan that includes orthodontia coverage for eligible dependent children.

VISION
 
The company provides vision coverage to eligible employees and their dependents to receive an eye examination, lenses and/or frames once every 12 months with a $10 co-pay. This plan is insured by Vision Service Plan.

LIFE & ACCIDENTAL DEATH & DISMEMBERMENT INSURANCE
 
These plans are insured by Hartford Life Insurance and provide eligible employees with Life & AD&D insurance equaling 2 times their annual salary. Cell Genesys pays 100% of the premium cost for both plans.

TRAVEL ACCIDENT INSURANCE
 
Cell Genesys provides travel accident insurance coverage in the amount of $250,000 at no cost to employees.

SHORT-TERM DISABILITY
 
In conjunction with California State Disability Insurance (SDI), Hartford Insurance will pay 66 2/3% of an employee's monthly salary for up to 12 weeks for a physician-certified disability, up to a weekly maximum of $4,040.

LONG TERM DISABILITY
 
For eligible employees disabled for longer than 12 weeks, the company provides 66 2/3% of monthly salary up to $15,000. This coverage is provided at no cost to employees and administered by Hartford Insurance.

401(k) PLAN
 
Charles Schwab 401(k) plan. Employees may contribute up to 20% of cash compensation (pre-tax) to the 401(k) plan, not to exceed the maximum IRS annual limit. The company provides a 401(k) match of 100% for the first $3000. New employees are fully vested after three years of service time. Additionally, the company allows an "over age 50" catch-up contribution of up to 20% of cash compensation not to exceed the IRS annual limit.

EMPLOYEE STOCK PURCHASE PLAN
 
Employees may contribute up to 10% of base salary (after-tax) for purchase of Cell Genesys stock at 85% of the fair market value on the first day of the offering period or last day of the purchase period, whichever is lower.

STOCK OPTION PLAN
 
Cell Genesys has a stock option program. The granting of options to eligible employees is subject to program guidelines and approval by the Board of Directors.

FLEXIBLE SPENDING PLAN
 
Cell Genesys offers health care and dependent care reimbursement accounts to eligible employees. This plan allows deferral of pre-tax money to cover medical expenses not covered by insurance to a maximum of $2,500 per year, and dependent care expenses up to $5,000 per year.

EMPLOYEE ASSISTANCE PROGRAM
 
This program is a confidential counseling and referral service that utilizes a network of licensed practitioners and other trained professionals. Employees and family members may use up to five counseling or consultation sessions per incident each year.

   * All insurance is effective the first day of employment.
